These Terms of Service (“Terms”) govern your access to and use of the website SjmdigitalconsultingSJM Digital Consulting | Digital Marketing (“Site”) and the services provided by SJM Digital Consulting LLC, an Illinois limited liability company (“we,” “us,” or “our”). By accessing the Site or purchasing or using our services, you agree to these Terms. If you do not agree, do not use the Site or engage our services.

1. Services

We provide digital marketing and CRM services including, but not limited to:

  • Paid advertising management
  • Search engine optimization (SEO)
  • CRM software access through Engage360
  • Email marketing
  • SMS marketing via Engage360
  • Website & landing page design
  • Conversion rate optimization
  • Automation and follow up systems
  • Consulting and strategy services

Collectively these are the “Services.”

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter binding agreements to use our Services. By using our Services, you represent that you meet these requirements.

3. Registration and Account Security

To access some Services, you may be required to create an account. You are responsible for:

  • Providing accurate information
  • Maintaining the confidentiality of credentials
  • All activity under your account

Notify us immediately of any unauthorized use.

4. Payment Terms

4.1 Fees

Service fees, setup fees, and any other charges are described at checkout or in your client agreement.

4.2 Billing

Fees are due when invoiced or at the time of purchase through the online checkout. You agree to pay all fees in U.S. dollars. No sales tax is collected.

4.3 Setup Fees and Non-Refundables

Setup fees are non refundable once services are initiated.

4.4 Ad Spend

Ad spend is separate from our fees and is paid directly to advertising platforms.

4.5 Late Payments

Past due amounts may accrue interest at the maximum rate permitted by law.

5. Cancellations and Refunds

5.1 Cancellations

Requests to cancel Services must be submitted in writing to support@sjmdigitalconsulting.com with 30 days notice.

5.2 Refunds

  • Setup fees are non refundable.
  • Monthly service fees are not refundable for partial months.
  • Work already performed before cancellation is not refundable.

6. No Guarantees

We provide Services using commercially reasonable efforts based on industry practices. However, we do not guarantee results, rankings, traffic, revenue, leads, conversions, or specific outcomes.

7. Intellectual Property

7.1 Our Materials

We retain all rights to methodologies, processes, tools, templates, and content developed prior to or outside the client engagement.

7.2 Client Materials

Clients retain ownership of materials they provide to us. You grant us a license to use those materials solely to deliver Services.

8. Confidentiality

Each party agrees to maintain the confidentiality of information marked as confidential and to use it only for the purposes of performing under this agreement. Confidential information does not include publicly available information or data independently developed.

9. Privacy

Your use of our Site and Services is also governed by our Privacy Policy, which is incorporated by reference and available at https://sjmdigitalconsulting.com/home.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SJM DIGITAL CONSULTING LLC BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR SERVICES IN THE 12 MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless SJM Digital Consulting LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of your breach of these Terms, your use of the Services, or your violation of law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Illinois.

14. Modification of Terms

We may modify these Terms at any time by posting the updated version on the Site. Your continued use of the Site or Services after modifications constitutes acceptance of the revised Terms.

15. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16. Entire Agreement

These Terms, together with any agreements referenced herein and our Privacy Policy, constitute the entire agreement between you and SJM Digital Consulting LLC and supersede all prior or contemporaneous communications.
